Appearance & Likeness Consent — Long-Form Terms & Addenda

1) Definitions
- Talent: the individual whose likeness/voice is used.
- Likeness: name, image, face, body, gestures, persona, signature, and other identifiers.
- Voice: recorded or synthesized voice attributable to Talent.
- AI-Generated Content/Outputs: media created or edited with generative tools.
- Production Assets: reference photos/video, prompts, style sheets, recordings, scripts, files.
- Media/Platforms: websites, social networks, ad networks (Meta/Google/TikTok), apps, CTV/OTT, print, OOH, later-developed media.
- Sublicensees: platforms, agencies, vendors used to run or host ads.
2) Grant of Rights
Talent grants Producer and Client a non-exclusive, transferable, sublicensable right to use, reproduce, adapt, edit, crop, montage, subtitle, translate, resize, transcode, distribute, publicly perform and display Talent’s Likeness (and Voice if opted-in) in the project deliverables and reasonable derivatives/cut-downs. Unless a fixed term is set in the Short-Form, this grant is perpetual and worldwide. No obligation to publish.
3) AI-Specific Consent & Guardrails
- AI consent: generation, simulation, stylization, restoration, editing; character consistency.
- Guardrails: no political, pornographic, hateful, defamatory, or illegal portrayals; no deceptive impersonation.
- Voice: cloning/synthesis only if selected in Short-Form.
- Model training: no training by default; limited internal training only if opted-in in Short-Form.
4) Media, Territory, Term, Derivatives, Sublicensing
All Media/Platforms, worldwide, for the Short-Form Term (perpetual if blank). Derivative edits and aspect ratios permitted. Sublicensing to platforms and vendors allowed to run the ads.
5) Compensation; No Residuals
As stated in the Short-Form. No residuals/royalties unless explicitly agreed. No obligation to publish.
6) Privacy, ID, and Security
- Purpose: ID/PII only to verify identity/age/authority and manage consent records.
- Retention: IDs deleted within 30–60 days post-project unless required for legal claims; minimal consent logs may be retained longer.
- Security: reasonable safeguards; reputable cloud/storage vendors under confidentiality.
- No sale of personal data. Requests: legal@sonamak.org.
7) Biometric Notice & Consent (if applicable)
If face/voice geometry is processed for identity verification or character consistency, Producer will: obtain written consent; use only for the Project; not sell; restrict disclosure; follow our Biometric Data Retention & Deletion Policy; and delete per Section 6. Comply with IL BIPA, TX CUBI, and WA laws where applicable.
8) Sensitive-Use & Morals
No use in pornographic, hateful, illegal, or highly sensitive contexts without fresh written consent. Producer may refuse content that violates platform policies or law.
9) Endorsements & Compliance
Client is responsible for truthful, non-misleading claims and required disclosures. FTC endorsement guides and platform ad policies apply.
10) Portfolio Rights
Unless the Short-Form prohibits it, Producer may display the finished deliverables (not raw assets/ID) in portfolio, website, reels, and sales decks. Removal from Producer channels on request within a reasonable time.
11) Revocation & Takedown
Revocation stops new uses within 30–60 days. Does not require recalling or editing already distributed ads or cancelling media buys. Producer removes from own channels within a reasonable time.
12) Representations & Warranties
Talent: age/authority; no infringement; accurate info. Client: lawful, substantiated claims. Producer: uses within scope.
13) Third-Party Materials
Each party warrants rights to any IP supplied (logos, uniforms, locations). Obtain model/location releases for third parties you bring.
14) Indemnity
Talent indemnifies for breach/infringing materials; Client indemnifies for claims in ad copy; Producer indemnifies for willful misuse outside scope.
15) Limitation of Liability
No indirect/special/consequential damages. Producer’s liability cap: greater of fees paid for the Project or USD $1,000.
16) Confidentiality
Non-public pricing, briefs, strategies are confidential. Subcontractors under confidentiality allowed.
17) Governing Law; Disputes
Governing law: Delaware (default) or as set in Short-Form. Venue: Wilmington, DE (default) or as set in Short-Form. Optional arbitration by written agreement.
18) Miscellaneous
Assignment; severability; force majeure; entire agreement (Short-Form + this page + addenda); written amendments; notices to Short-Form contacts; e-signatures valid.
19) Minors (Addendum)
Guardian must sign; revocation limits apply; permits are guardian’s responsibility.
Addendum A — Biometric Consent (if applicable)
Consent to capture/derive biometric identifiers solely for identity verification and character consistency; no sale; deletion per policy.
Addendum B — Voice Consent (if selected)
Permission to record/synthesize voice subject to guardrails; no political/deceptive impersonation; no training beyond Short-Form opt-in.
Complete the Short-Form to generate your Consent ID. You’ll paste it in the Order form when “Use my face” is selected.
